Terms of Service
These Terms of Service (“Terms”) are a binding agreement between you and Wingman Aviation, LLC(“Wingman,” “we,” “us”) and govern your access to and use of the Wingman website, applications, and services (the “Service”). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
1. What Wingman is
Wingman is software for flying clubs, flight schools, and pilots — including scheduling, dispatch, maintenance and airworthiness tracking, member and billing recordkeeping, training records, a digital logbook, and the “RightSeat” network for posting and finding shared (cost-shared) general-aviation flights. Wingman is a software and information platform only. We do not operate aircraft, employ pilots, provide flight instruction, or arrange, broker, or carry out flights.
2. Eligibility and your account
You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for the accuracy of the information you provide, for keeping your login credentials secure, and for all activity under your account. Notify us promptly of any unauthorized use.
3. Subscriptions, billing, and what we do not handle
- Paid plans (such as RightSeat Plus and club/school subscriptions) are billed in advance on a recurring basis through our payment processor, Stripe, until cancelled. You can cancel at any time; cancellation stops future renewals and is not retroactive. Fees are non-refundable except where required by law.
- Wingman never collects, holds, or transfers flight money. Club dues, aircraft rental charges, member account balances, and cost-share amounts are settled directlybetween members, clubs, and pilots through their own arrangements and payment processors. Wingman records these amounts and can integrate with a club’s own accounting tools (e.g., QuickBooks), but is not a party to, and does not process, those payments. Our subscription fees are the only money that flows to Wingman.
4. Pilot responsibility and safety (read this)
Aviation is inherently dangerous and can result in serious injury or death. You are solely responsible for the safe and legal conduct of every flight. If you act as pilot in command, you alone are responsible for, and must independently verify: aircraft airworthiness; weight and balance; fuel; weather; your medical, currency, and certificate status; and compliance with all Federal Aviation Regulations and other applicable law.
Wingman’s tools — including weight-and-balance calculations, airworthiness and maintenance flags, and currency indicators — are advisory aids only, based on data you and others enter, and may be incomplete or wrong. They are not a substitute for your required preflight actions and judgment as pilot in command, and you must not rely on them as such.
5. RightSeat, cost-sharing, and FAR 61.113
RightSeat lets pilots post flights and connect with others who wish to share a flight. Wingman merely provides the platform; it does not operate the flight, is not an air carrier or common carrier, and takes no part in any flight. A RightSeat Plus subscription is a fee for software, never compensation for a flight.
Pilots are solely responsible for ensuring that any cost-sharing complies with FAR 61.113 and all other applicable regulations — including the pro-rata cost-share limits and the common-purpose requirement — and for not holding out as a common carrier. Any cost-sharing, payment, or settlement between pilots and passengers is strictly between them. You assume all risk of participating in shared flights.
6. Assumption of risk and release
To the fullest extent permitted by law, you assume all risks arising from your use of the Service and from any flight, flight-sharing arrangement, instruction, club activity, or aircraft. You release Wingman from, and agree it is not liable for, any claim arising out of any flight or any interaction, transaction, or arrangement between you and any other user, club, instructor, or third party.
7. Acceptable use
You agree not to misuse the Service. You will not:
- enter false or misleading flight, maintenance, currency, or identity information;
- use the Service for any unlawful purpose or to violate any aviation or other regulation;
- access another user’s or club’s data without authorization, or attempt to break or probe the Service’s security;
- upload malware, scrape the Service, or interfere with its operation.
8. Your content
You retain ownership of the data you submit (your profile, logbook, documents, club records, and similar). You grant Wingman a license to host, process, and display that data solely to operate and improve the Service as described in the Privacy Policy. You are responsible for the content you submit and for having the rights to submit it.
9. Third-party services
The Service integrates with third parties (for example, Stripe for subscription billing, and, where a club connects it, QuickBooks). Your use of those services is governed by their own terms, and we are not responsible for them.
10. Disclaimers
The Service is provided “as is” and “as available,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that any tool, calculation, or data is accurate or complete.
11. Limitation of liability
To the fullest extent permitted by law, Wingman and its owners, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss arising from any flight, injury, death, property damage, or regulatory action. Our total liability for any claim relating to the Service will not exceed the amount you paid Wingman in the twelve months before the claim.
12. Indemnification
You agree to indemnify and hold Wingman harmless from any claim, loss, or expense (including reasonable attorneys’ fees) arising from your use of the Service, your flights or flight-sharing, your content, or your violation of these Terms or of any law or regulation.
13. Termination
You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms or if necessary to protect the Service or others. Provisions that by their nature should survive termination (including disclaimers, limitation of liability, and indemnification) will survive.
14. Governing law and disputes
These Terms are governed by the laws of the State of [State], without regard to its conflict-of-laws rules. The state and federal courts located in [State] will have exclusive jurisdiction, and you consent to venue there.
15. Changes
We may update these Terms from time to time. If we make material changes, we will update the date above and, where appropriate, notify you. Your continued use of the Service after changes take effect constitutes acceptance.
